Non-Disclosure & Confidentiality Agreement

Business / Commercial Property Sale

In consideration of Munafa Realty / TREC The Real Estate Company (the “Brokerage”), acting as Agent for the Seller(s), providing the undersigned (the “Recipient”) with confidential information regarding the business and/or properties described below (herein referred to as the “Entities”), the Recipient understands, agrees, and warrants as follows:

  1. Confidentiality of Information

    The information provided regarding the Business/Properties is sensitive and strictly confidential. Disclosure of such information to third parties would be damaging to the Seller(s), the described Entities, and to the Brokerage's fiduciary relationship with the owners.

  2. Non-Disclosure

    The Recipient agrees not to disclose any information regarding the Entities to any person who has not separately executed a Confidentiality Agreement. “Information” includes all data, materials, and documents related to the Entities, including the fact that the Entities are for sale.

  3. No Direct Contact

    The Recipient agrees not to contact, directly or indirectly, the owners, employees, landlord, franchiser, suppliers, customers, business associates, or competitors of the Entities without the prior written consent of the Brokerage.

  4. No Sharing With Associates

    The Recipient agrees not to divulge this confidential information to any other associate or broker without obtaining prior written consent from the Seller(s).

  5. No Warranty by Brokerage

    All information is provided solely by the Seller(s) and is not independently verified by the Brokerage. The Brokerage relies on the Seller(s) for the accuracy and completeness of said information. No warranties, expressed or implied, are made by the Brokerage.

  6. Agency Disclosure

    The Brokerage (Munafa Realty / TREC The Real Estate Company) acts as Agent for the Seller(s) in this transaction.

  7. Return of Documents

    No copies of any documentation, plans, drawings, maps, appraisals, financial statements, equipment lists, inventory lists, or other materials provided by the Seller(s) shall be made without the prior permission of the Brokerage. All documentation shall be returned at the Brokerage's request and shall not be retained in any form.

  8. Non-Circumvention

    The Recipient agrees not to pursue, negotiate, or enter into any transaction with the Seller(s), their principals, or any related parties regarding the Entities without the express written consent of the Brokerage and the involvement of Munafa Realty / TREC The Real Estate Company.

  9. Binding Effect

    This Agreement is binding upon the Recipient, its affiliates, employees, agents, and assigns. The Recipient assumes full responsibility and liability for any unauthorized disclosure of confidential information by any party to whom disclosure is made.

  10. Governing Law

    This Agreement shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada.

Acknowledgment: I acknowledge having read this Agreement in its entirety, understand its contents, and agree to be bound by its terms. I have received a copy of this Agreement.
